The Team:
The Legal team supports Datadog’s rapid growth by providing a wide range of legal services across a highly dynamic technology company, from driving new business via contracts and compliance efforts, to protecting Datadog's intellectual property. Datadog's Legal team works with virtually every team across the organization, from engineering to product to marketing.
The Opportunity:
Datadog is looking for an experienced attorney to join its expanding Legal team as Senior Corporate Counsel, Securities & Governance. You will have primary responsibility for preparing, managing and overseeing legal work on public company filings and corporate governance matters.
You Will:
- Oversee Datadog’s securities matters, including annual proxy statement, ‘33 and ‘34 Act filings, disclosure matters relative to Regulation FD and Section 16 reporting obligations (including insider securities transaction compliance).
- Work closely with Investor Relations team on earnings and other press releases.
- Assist with day-to-day Corporate Secretarial operations, including support for board and committee meetings and managing logistics for Annual Meeting of Stockholders.
- Manage trading windows and insider trading policy.
- Proactively monitor pertinent legal, regulatory and stock exchange listing developments and trends, especially focusing on the changing environment related to ESG.
- Develop and implement robust procedures and standards of operation for corporate governance and compliance programs including those related to ESG; coordinate with other Datadog departments to ensure company-wide understanding and compliance.
- Oversee management of corporate books and records for parent entity and expanding group of international subsidiaries.
- Assist in formation of new international subsidiaries.
- Maintain regular communications with senior leaders in the Legal Department and, as appropriate, members of the Board of Directors, other relevant corporate stakeholders, and external constituencies.
- Support other legal projects and department initiatives, as needed.
You Are:
- 10+ years of legal experience as a corporate securities lawyer, preferably with in-house experience at a public company.
- Demonstrated deep understanding of relevant SEC requirements and Nasdaq listing rules.
- Corporate secretarial experience preferred.
- Superlative communication skills that will engender the confidence of senior management and the Board of Directors.
- Demonstrated ability to work effectively with senior management, and collaboratively with other corporate functions, including Finance and Investor Relations.
- High integrity and excellent judgment, supported by well-articulated points of view.
- Organized and process driven, with the ability to work independently with little guidance, but an understanding of when matters need escalation within or outside of the legal team.
- Flexible and eager to work in a fast-paced environment and meet tight deadlines.
- JD and Bar admission.
