Position:

Glass Lewis is hiring for its M&A and Contested Proxy Research group. This team covers M&A transactions and contested proxy fights across all industries, with a focus on providing in-depth analyses for institutional shareholder clients.  

The Senior M&A Research Analyst role offers the candidate the opportunity to leverage their experience in the evaluation of a wide range of corporate transactions, to lead the evaluation and analysis of complex M&A proposals, including proxy contests and shareholder and issuer engagement

This position reports to Jason McCandless, Senior Director, M&A

Responsibilities:

  • Evaluate corporate transactions and financially intensive shareholder proposals of public companies to formulate written research notes and recommendations for Glass Lewis institutional shareholder clients.
  • Review various regulatory filings, including proxy statements, earnings reports, investor presentations, as well as media and news reporting, to inform their analyses and recommendations.
  • Participate in or lead engagements with issuers and shareholders regarding contentious and complex governance situations. Senior Analysts will also be responsible for providing training and guidance to Analysts.
  • Consult with other Glass Lewis research groups as part of the research process and further participate in a range of projects outside of proxy season, including updating policy guidelines, unique research reports, and monitoring regulatory and market developments.
  • Other responsibilities as assigned

Qualifications and Experience: 

  • A thorough understanding of Glass Lewis research policies and engagement practices and ability to show a strong command of market and regulatory developments and trends
  • Bachelor’s degree required (Finance, Accounting, Economics or a related field preferred)
  • Relevant advanced degree preferred
  • CFA Level 2 or higher required
  • Minimum of 5 years of experience of financial markets, corporate governance research or closely related field
  • Demonstrated knowledge and expertise in equity markets, financial statements and valuation methodologies
  • Experience researching and analyzing M&A or contested proxies required
  • Strong analytical writing and critical thinking skills, with the ability to evaluate complex situations, synthesize information and communicate findings through clear and concise analytical writing
  • Keen attention to detail, with the ability to process information quickly and accurately
  • Strong interpersonal communication skills
  • Ability to work effectively under tight deadlines
  • Experience with online data platforms preferred
  • Proficiency with Microsoft Office Suite
