Junior Corporate Counsel

Rahr Corporation is looking for a Junior Corporate Counsel to join our legal team. The Junior Corporate Counsel will support our in-house legal team by assisting with corporate governance, contract management, regulatory compliance, and legal risk mitigation while collaborating with key business leaders. You will assist in drafting and reviewing legal documents, advising on corporate matters, and ensuring that our operations adhere to all relevant laws and internal policies. ROLES & RESPONSIBILITIES
  • Draft, review, and negotiate contracts, memoranda, policies, and other legal documents to safeguard the company’s interests.
  • Assist in corporate governance activities, including the preparation of board meeting materials, corporate filings, and maintenance of statutory records.
  • Maintain and update existing contract templates and contracting processes.
  • Collaborate with internal stakeholders to ensure understanding of legal terms translate to business impact.
  • Conduct legal research and prepare concise memoranda to inform business decisions.
  • Support compliance initiatives and internal audit processes to ensure adherence to company policies and industry standards.
  • Assist with due diligence and legal support for mergers, acquisitions, and other corporate transactions.
  • Coordinate with external counsel as necessary to support litigation, investigations, or specialized legal matters.
  • Maintain accurate records of legal documents, contracts, and corporate filings.
  • Perform additional duties as assigned to support the legal and operational needs of the company.


MINIMUM EDUCATION & WORK REQUIREMENTS:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in Minnesota or eligibility for admission.
  • 1-2 years of legal experience, preferably with a focus on general corporate law, corporate governance,  and commercial contract drafting and review through internships or prior legal positions.
  • Demonstrated academic excellence and strong legal writing, analytical, and research skills.
  • Familiarity with corporate governance, and commercial contract drafting and review is preferred.


KNOWLEDGE, SKILLS, AND ABILITIES:
  • Excellent written and verbal communication skills with the ability to interact effectively across all levels of the organization.
  • Strong analytical and research skills with a keen attention to detail.
  • Proficient in drafting and reviewing legal documents and contracts with accuracy and clarity.
  • Ability to work independently as well as collaboratively within a fast-paced, dynamic team environment.
  • Proactive and self-motivated, with a demonstrated ability to manage multiple priorities and deadlines.
  • High ethical standards and a strong commitment to maintaining confidentiality.
  • Proficiency in Microsoft Office Suite and legal research tools (e.g., LexisNexis, Westlaw) is highly desirable.
