Job Description

Primary Responsibilities: The Corporate Counsel is primarily responsible for providing legal advice across the organization. This may include compliance, litigation oversite, corporate matters, commercial transactions, due diligence, and additional legal matters.

Skills & Competencies:

  • 2-5 years of experience working as an Attorney in a law firm or corporate in-house setting
  • Juris Doctor (JD) from an accredited law school and admitted to practice law
  • Strong understanding of corporate law and compliance, regulations, and business law
  • Excellent written and verbal communications skills with the ability to clearly explain complex legal issues
  • Strong attention to detail with excellent analytical skills
  • Ability to work both independently and as part of a team
  • Professional and courteous demeanor

Essential Job Functions:

  • Provide legal counsel on corporate matters
  • Oversee outside attorneys working on litigation matters
  • Draft, review, and negotiate agreements related to contracts, licensing agreements, mergers and acquisition, joint venture agreements, along with risk management
  • Support and advise internal stakeholders and leadership on legal and regulatory issues, business strategy, and risk management
  • Provide due diligence around contracts, documents, agreements, and financial statements
  • Manage and coordinate with external counsel on specific legal matters as needed
  • Provide training and support on corporate governance and compliance matters to the organization
  • Create and review documents for accuracy, comprehensiveness, and compliance with all regulations
  • Performing research to help anticipate and guard company from legal risks
  • Other duties, as assigned by supervisor or leadership team.
