Job Description

Primary Responsibilities: The Corporate Counsel is primarily responsible for providing legal advice across the organization. This may include compliance, litigation oversite, corporate matters, commercial transactions, due diligence, and additional legal matters.

Skills & Competencies:

2-5 years of experience working as an Attorney in a law firm or corporate in-house setting
Juris Doctor (JD) from an accredited law school and admitted to practice law
Strong understanding of corporate law and compliance, regulations, and business law
Excellent written and verbal communications skills with the ability to clearly explain complex legal issues
Strong attention to detail with excellent analytical skills
Ability to work both independently and as part of a team
Professional and courteous demeanor

Essential Job Functions:

Provide legal counsel on corporate matters
Oversee outside attorneys working on litigation matters
Draft, review, and negotiate agreements related to contracts, licensing agreements, mergers and acquisition, joint venture agreements, along with risk management
Support and advise internal stakeholders and leadership on legal and regulatory issues, business strategy, and risk management
Provide due diligence around contracts, documents, agreements, and financial statements
Manage and coordinate with external counsel on specific legal matters as needed
Provide training and support on corporate governance and compliance matters to the organization
Create and review documents for accuracy, comprehensiveness, and compliance with all regulations
Performing research to help anticipate and guard company from legal risks
Other duties, as assigned by supervisor or leadership team.
